Outsourcing is much in trends today specially in the IT industry but have you ever thought as to what would make a good outsourcing deal? No doubts that every buyer company has different goals and it is on the basis of these objectives that the outsourcing deal can be called good or bad. However, the best way to get a good outsourcing deal is by getting a properly negotiated contract or an agreement signed by the outsourcing company. The contract must be comprehensive and consist of all the crucial issues and terms and conditions.

There are number of points that you must bear in mind while going for outsourcing services. First and foremost is to make sure that you do not sign an agreement that possess very minimum amount of commitment. The outsourcing deal generally comprises of unnecessary commitments such as either minimum volume or revenue commitments. For having a good outsourcing deal, it is better to develop an agreement that is based on volume discounts.

Termination of convenience is a very important contract to sign as it has several advantages of its own. Therefore, make sure that you sign a termination of convenience clause in your contract. The major benefit of this is that you will be able to terminate the agreement even before it expires if you are not happy with the work or any other reasons. The best part of this clause is that you are not bound by giving any reason for the same as well. Hence, if the outsourcing company doesn’t suit you, you can easily terminate the contract without giving any excuse.

It is not necessary for an outsourcing agreement to be for a long term period. In fact, it is advisable to have agreements that are just for one or two years and if need be then can be extended by the buyers. The contract must possess a reference to intellectual property rights and it should make it very clear as to who has the ownership of the work done. For instance, if software is developed then who owns it should be clear to avoid any later fights.
