Outsourcing is much in trends today specially in the IT industry but have you ever thought as to what would make a good outsourcing deal? No doubts that every buyer company has different goals and it is on the basis of these objectives that the outsourcing deal can be called good or bad. However, the best way to get a good outsourcing deal is by getting a properly negotiated contract or an agreement signed by the outsourcing company. The contract must be comprehensive and consist of all the crucial issues and terms and conditions.

There are number of points that you must bear in mind while going for outsourcing services. First and foremost is to make sure that you do not sign an agreement that possess very minimum amount of commitment. The outsourcing deal generally comprises of unnecessary commitments such as either minimum volume or revenue commitments. For having a good outsourcing deal, it is better to develop an agreement that is based on volume discounts.

Termination of convenience is a very important contract to sign as it has several advantages of its own. Therefore, make sure that you sign a termination of convenience clause in your contract. The major benefit of this is that you will be able to terminate the agreement even before it expires if you are not happy with the work or any other reasons. The best part of this clause is that you are not bound by giving any reason for the same as well. Hence, if the outsourcing company doesn’t suit you, you can easily terminate the contract without giving any excuse.

It is not necessary for an outsourcing agreement to be for a long term period. In fact, it is advisable to have agreements that are just for one or two years and if need be then can be extended by the buyers. The contract must possess a reference to intellectual property rights and it should make it very clear as to who has the ownership of the work done. For instance, if software is developed then who owns it should be clear to avoid any later fights.

Outsourcing is the modern mantra of doing business efficiently wherein both the companies get to have a fair deal of profit. It’s a win-win situation at both the ends. However, the present conditions make it necessary for you to be extra careful and proper security of your outsourcing relationship. The recent terrorist attacks, racial attacks and such other problems can affect your outsourcing business immensely. Therefore, having an outsourcing contract with protection is a must in this uncertain world. Here are some of the points that your outsourcing contract should address for a secured working relationship.

Revision of clauses- You can revise certain clauses such as force majeure as it is the prime clause that protects you against any uncertain mishap. It is a clause that releases the buyer and the vendor both from any liability during the prevalence of any such event that is not within one’s control like natural disasters or such similar instances.

Review the termination provisions- A termination provision should be such that it permits the buyer to respond to the dynamic vendor conditions. The provisions should also deal with the matter of the vendor’s viability of the unforeseeable threats.

Modify Change of ownership provision- This provision should include acquisitions, breakups. It should deal with the events such as breaking up of the supplier.

Owning of the Assets- the contract should clearly mention about the ownership of the assets such as the software developed or the documentation and it should also address in details regarding intellectual property.

The terms and conditions- the contract must address to the terms and conditions in detail with its special focus on the emergent concerns. For this purpose clauses such as transition out requirements, audit provisions, and termination costs must be addressed.

Take a professional’s advice- before making the contract it is always better to take advice from an experienced and well qualified professional. An expert can get your contract done in the exact manner.

Thus, make sure that your contracts for outsourcing involves all these important clauses and thereby allows you to run your business smoothly even in the times of uncertainty. Hope this helps you.
